TERMS OF SERVICE AGREEMENT

Please read these Terms of Service ("Terms", "ToS") carefully before using the Giftasic.com (site and services).

By accessing or using the site and services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the site and services.

**1. The Service**

The Giftasic.com site and services are dedicated tools designed to create a positive workplace culture and boost engagement & morale within a team through celebrations.

**1.1 User-Generated Content (UGC)**

The site and services allow you to create, save, and manage e-Cards, messenger channels and users (Slack, Team, etc), group definitions, messages, images, and photos (collectively, "User Content").

  • Ownership: You retain all ownership rights to the User Content you create and store using the Service.
  • License to Us: You grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and process your User Content only as necessary to provide, maintain, and improve the Service.

**2. Subscription Plans and Fees**

The Service is offered under two primary tiers: the Free Plan and various Paid Plans.

**2.1 Free Plan**

The Free Plan grants you basic, limited access to the Service under the following constraints:

  • Limited Users: You are restricted to managing a maximum of one (5) users.
  • Limited Usage: Usage is capped to a specific number of events, as detailed on the Service's pricing page.
  • Changes to Free Plan: We reserve the right to modify, limit, or discontinue the features of the Free Plan at any time without prior notice.

**2.2 Paid Plans (Subscriptions)**

Paid Plans grant access to expanded features and higher usage limits.

  • Subscription Cycles: We offer subscriptions on 1-month and Annual (12-month) cycles.
  • Billing: You will be billed in advance on a recurring and periodic basis (monthly or annually, depending on the subscription cycle you select).
  • Automatic Renewal: Your subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You must cancel your subscription renewal before the renewal date to avoid billing for the next cycle.

**2.3 Payment Processing**

All payments are handled by a third-party payment processor (e.g., Paddle). We do not store or process your payment details. You agree to abide by the terms and conditions of that third-party payment processor.

**3. Refund Policy (14-Day Money-Back Guarantee)**

We offer a 14-day, no-questions-asked refund policy for all new purchases of 1-month or Annual subscriptions.

  • Eligibility: To be eligible for a refund, you must submit a request to support[at]giftasic.com within fourteen (14) days of your initial purchase date.
  • Processing: Refunds are processed immediately upon request but may take 5–10 business days to appear in your account, depending on your bank and payment processor.
  • Exclusions: This policy does not apply to renewal payments. All renewal payments are non-refundable.

**4. Termination**

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

Grounds for Immediate Termination include:

  • Violation of the usage limitations of your plan (e.g., attempting to exceed user quotas).
  • Attempting to reverse engineer, disrupt, or gain unauthorized access to the Service.
  • Engaging in fraudulent payment activity.
  • Illegal use of the Service or using the Service to track illegal or prohibited content.

Upon termination, your right to use the Service will immediately cease.

**5. Limitation of Liability**

In no event shall the owner, directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

**6. Governing Law and Jurisdiction**

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
